MARCK ADVISES ALLOHEIM ON THE ACQUISITION OF THE KATHARINENHOF GROUP
MARCK advises Alloheim SE on the acquisition of the Katharinenhof Group.
The acquisition of the Katharinenhof Group was carried out as part of a combined transaction. Not only are the operational facilities being sold to Alloheim, but at the same time, the associated real estate portfolio is being transferred to funds advised by Civitas Investment Management Limited. The total transaction volume is stated by the parties to be slightly over EUR 300 million.
Katharinenhof consists of 27 locations, offering a total of more than 3,000 places for residential care and assisted living. The Alloheim Group will fully take over the operational business, further solidifying its leading position in the industry. Through this acquisition, Alloheim will significantly expand its capacity, particularly in the federal states of Berlin, Hamburg, Brandenburg, and Saxony.
The Alloheim Group is the largest private provider of residential and outpatient care services in Germany. Nationwide, the company operates 258 senior residences, 94 assisted living locations, and 25 outpatient care services. In total, Alloheim employs around 23,000 staff members in Germany and offers more than 28,000 beds. With this acquisition, the number of senior residences will now increase to 285.
Lead counsel for the transaction was ARQIS, with a team led by Dr. Jörn-Christian Schulze. MARCK provided comprehensive advice on all merger control-related matters and filed the transaction with the German Federal Cartel Office (Bundeskartellamt).
